MIDNIGHT SUN TERMS AND CONDITIONS OF PARTICIPATION

In consideration for Kerecis’ support in facilitating my attendance at the Midnight Sun Wound Workshop, I agree as follows:

COVID-19: I hereby confirm that I'm aware that to attend the event I will have to present a valid full vaccination certificate with an approved vaccine against COVID-19 or submit proof of a prior COVID-19 infection with a PCR test or an antibody test issued by an EEA/EFTA country. Note that a positive PCR test must be at least 14 days old. Further details regarding newest updates on travels to Iceland can be found on www.covid.is)


A. Assumption of Risks and Waiver. 1. I HEREBY ASSUME ALL OF THE RISKS OF PARTICIPATING IN ANY ACTIVITIES ASSOCIATED WITH THE KERECIS MIDNIGHT SUN WOUND WORKSHOP (the “Activities”), including without limitation, risks that may arise from negligence on the part of the persons or entities being released, from dangerous or defective equipment or property owned, maintained, or controlled by them, or because of their possible liability without fault. 2. I acknowledge that this Waiver and Release of Liability form will be used by the Kerecis hf. and its affiliates (“Kerecis”) and its sponsors and organizers of the Activities, and that it will govern my actions and responsibilities. 3. In consideration of my participation in the Activities, I agree as follows for myself, my executors, administrators, heirs, successors, and assigns as follows:


(a) I waive, release, and discharge the following entities and persons from any and all liability, including but not limited to, liability arising from the negligence or fault of the entities or persons released, for my death, disability, personal injury, property damage, property theft, or actions of any kind which may hereafter occur to me in or in connection with the Activities, including but not limited to, my traveling to and from the Activities: Kerecis and its affiliates respective directors, officers, employees, representatives, and agents, and the sponsors and organizers of the Activities;

(b) To indemnify, hold harmless, and promise not to sue the entities or persons mentioned in this paragraph from any and all liabilities or claims made as a result of participation in the Activities, whether caused by negligence or otherwise. 4. I understand while participating in the Activities, I may be recorded and photographed. I agree to allow my photo, video, or film likeness to be used for any lawful purpose by Kerecis, and its sponsors and organizers without payment or any other consideration. I understand and agree that these materials will become the property of Kerecis. I hereby irrevocably authorize the Kerecis to edit, alter, copy, exhibit, publish or distribute these images for any lawful purpose. In addition, I waive the right to inspect or approve the finished product, including written or electronic copy, wherein my likeness appears. 5. Additionally, I waive any right to royalties or other compensation arising or related to the use of my image. I hereby hold harmless and release and forever discharge Kerecis from all claims, demands, and causes of action which I, my heirs, representatives, executors, administrators, or any other persons acting on my behalf or on behalf of my estate have or may have by reason of this authorization.

B. Presentations and Consent to Use of Materials, Images and Recordings.

1. I understand and agree that as part of participating in the Activities, I will prepare and present in a peer-to-peer educational setting one or more patient case studies (“Case Studies”) regarding the use of Kerecis products, other skin substitutes, or other standard of care for wound treatment for scientific, educational and professional development purposes. I understand and agree that Kerecis may make audio and video recordings of my Case Study presentation and participation in the Activities. I consent to Kerecis’ use of the images from and content of my Case Studies and the recordings and/or photography of such presentation and participation (together, the “Materials”) for Kerecis’ and its affiliates’ educational, internal and external training; marketing purposes, including, without limitation, advertising and promotional materials provided to professionals and the general public; clinical training, educational programs and scientific papers for professionals in conferences, workshops, etc.; and presentations for the general public. 2. In connection with my Case Studies, I hereby acknowledge that I have received all consents and approvals from patients and/or others necessary for the disclosure, sharing and dissemination of theMaterials, including without limitation, consents and approvalsnecessary to authorize Kerecis’use thereof as described above. 3. I understand and agree that Kerecis shall have a non-exclusive, paid up, perpetual right and license to use the Materials for any lawful purpose. I waive the right to inspect or approve any finished product containing or any specific use or disclosure of the Materials authorized hereby. I understand that I will not be entitled to any compensation in connection with Kerecis’ use of the Materials. 4. Ownership of the copyright to all publication of the Materialsby Kerecis will be vested solely in Kerecis.
